HUI Consulting Inc. provides professional computer systems design, integration, consulting, and related technical services within the Professional, Scientific, and Technical Services sector. Specific service terms, scope, deliverables, timelines, and fees will be defined in separate service agreements or statements of work executed between HUI Consulting Inc. and the client. No service engagement is formed until a written agreement is signed by both parties.
All content, materials, trademarks, logos, designs, and intellectual property displayed on our website are the property of HUI Consulting Inc. or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or exploit any content from our website without our prior written consent.
In the course of providing services, any intellectual property developed specifically for a client under a paid engagement shall be governed by the terms of the applicable service agreement. Fees for services will be outlined in individual service agreements, proposals, or statements of work. Payment terms, including schedule, method, and late payment penalties, will be specified in those documents. Unless otherwise agreed, all fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes. Invoices are due within thirty days of the invoice date unless other terms are specified.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. Confidential information includes, but is not limited to, business processes, technical specifications, financial data, trade secrets, and client data. This obligation survives the termination of any service agreement for a period of five years. Nothing in this section prevents disclosure required by law or court order.
To the maximum extent permitted by applicable law, HUI Consulting Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of our website or services, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Our total liability for any claims arising under these terms or any service agreement shall not exceed the total amount paid by you for the specific services giving rise to the claim. This limitation of liability applies even if we have been advised of the possibility of such damages.

We do not warrant that our website will be uninterrupted, timely, secure, or error-free. Upon termination, your right to use our website ceases immediately. Provisions of these terms that by their nature should survive termination, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification, shall survive.
